The website you joined is an online subscription service (the "Service") owned and operated by Perceptive Instruments. Please carefully read and understand these Terms and Conditions prior to becoming a subscriber to the Service, as they constitute a binding legal agreement (the "Agreement") by and between Perceptive Instruments and persons who elect to become subscribers to the Service (the "Subscribers").

  1. As a Subscriber to the Service, you agree to be bound by each and every provision contained in this Agreement (the "Agreement"). This Agreement may be modified or amended by Perceptive Instruments at any time, and changes are effective upon notice to each Subscriber. Notices by Perceptive Instruments to Subscribers may be given via electronic messages or a posting on the Service.

  2. Subscriber hereby swears and affirms under oath that the information provided when subscribing to this Service is truthful.

  3. Personal Information
    • Perceptive Instruments will, for security reasons, log the IP address of Subscribers upon account creation and login to the Service.
    • Only email addresses are stored on the system. Any other information provided by Subscribers is purely transitory.
    • Perceptive Instruments will not under any circumstances, except as may be specifically required by law or court order, release personal information provided by Subscribers to any third parties.

  4. Use of software
    Your use, installation or downloading of software, promotional materials or documents (collectively referred to as "Software") from this Service indicates your acceptance of and is subject to the license terms in the Software License Agreement that accompanies or is provided with the Software. If no such Software License Agreement accompanies or is provided with the Software, then you agree that you accept a limited, non-exclusive, non-transferable license to use the Software as is solely for your own internal business purposes in relation to your use of this Service and that your use of the Software is subject to the following provisions:
    • You shall not modify, translate, disassemble, decompile or reverse engineer the Software or make any copies of any documentation or Software (except one copy for back-up or archival purposes only);
    • You shall not sell, assign, sublicense, transfer, disclose, or permit access to the Software or related documentation to any other person or entity;
    • The licensor disclaims (and you accept the Software without) any and all warranties, express or implied, including, but not limited to, any warranty of merchantability, non-infringement or fitness for a particular purpose, with respect to the software.

  5. Subscription to the Service may be terminated at any time, and without cause.

  6. Perceptive Instruments has no responsibility for supplying Subscribers with computer equipment or communications connections necessary to access the Service. Subscribers are solely responsible for these items.

  7. Upon becoming a Subscriber to the Service, Perceptive Instruments will provide the Subscriber with a unique password which allows access to the Service. The password is issued by Perceptive Instruments in the form of a revocable license and remains the property of Perceptive Instruments and constitutes proprietary information. Passwords are non-transferable. Each Subscriber must keep his password strictly confidential. For security reasons, Perceptive Instruments will not release passwords for any reason, except as may be specifically required by law or court order. Transfer of any password to another person or entity, or allowing any person or entity other than the Subscriber to access the Service via such Subscriber's password is strictly prohibited, and is a breach of this Agreement and a violation of law.

  8. Under no circumstances, including, but not limited to, negligence, shall Perceptive Instruments or any of its related, affiliated companies be liable for any direct, indirect, incidental, special, consequential or punitive damages that result from the use of, or the inability to use the Service.

  9. Except for public domain material, all material displayed on the Service is copyrighted by Perceptive Instruments, or is licensed under copyright by Perceptive Instruments, and may not be copied, redistributed, or downloaded, in whole or in part, without the prior written consent of Perceptive Instruments.

  10. The Service is for the use of Perceptive Instruments customers only. Any other use is prohibited.

  11. This Agreement sets forth the full and complete understanding between Subscriber and Perceptive Instruments with respect to its subject matter, and supersedes all prior understanding or agreements, whether written or verbal. This Agreement may be modified upon notice by Perceptive Instruments to its Subscribers. Unless contrary to law or otherwise stated, each provision of this Agreement shall survive termination. This Agreement shall be governed by, and construed in accordance with, the UK laws for contracts entered into.
